MoonFare and Customer may be referred to individually as a “Party” andcollectively as the “Parties.”

1. PURPOSE

MoonFare Coffee LLC agrees to supply specialty coffee products to the
Customer for resale and/or service at the Customer’s retail or food service
location.

2. PRODUCTS

  • Single-Origin Colombian Specialty Coffee
  • Whole Bean Coffee – Medium Roast
  • Whole Bean Coffee – Dark Roast
  • Green Coffee Beans (available for roasting partners)

Packaging sizes may include

  • 12 oz retail bags
  • 2.5kg wholesale bags
  • Other formats as agreed upon by both parties.

MoonFare reserves the right to modify packaging, roast profiles, or product
offerings while maintaining product quality standards.

3. PRICING

Wholesale pricing will be provided in the MoonFare Wholesale Price List,
which may be updated periodically.

  • Pricing is subject to change with 30 days written notice.
  • Volume discounts may be offered at MoonFare’s discretion.
  • Green coffee pricing may fluctuate based on market conditions.

4. MINIMUM ORDERS

Minimum wholesale order requirements:

  • Minimum order value: $200 per order
  • OR
  • Minimum order quantity: 6 wholesale bags or equivalent

MoonFare reserves the right to waive minimums at its discretion.

5. PAYMENT TERMS

Payment terms are as follows: 

  • First order: Prepaid
  • Ongoing orders: Net 15 or Net 30 (subject to credit approval)

Accepted payment methods:

  • ACH
  • Bank transfer
  • Credit card
  • Approved digital payment methods

Late payments may incur a 1.5% monthly service charge.

6. DELIVERY & SHIPPING

Delivery terms:

  • Local delivery available in approved service areas
  • Orders outside delivery zones will ship via commercial carrier

Shipping costs:

  • $10 for weekly delivery <10 bags/week within 15mi radius from Morristown, NJ
  • Free delivery >10 bags/week 15mi radius from Morristown, NJ

7. FRESHNESS & PRODUCT STORAGE

MoonFare Coffee is roasted to maintain peak freshness.

Customer agrees to:

  • Store coffee in a cool, dry environment
  • Avoid direct sunlight or heat exposure
  • Use roasted coffee within 30–45 days of roast date for optimal quality

MoonFare is not responsible for product degradation due to improper storage.

8. BRANDING & MARKETING 

Customer agrees to sell the product under the MoonFare Coffee brand name and may not repackage or relabel MoonFare products without written approval.

MoonFare may provide:

  • branded signage
  • product information cards
  • marketing materials
  • digital promotional assets

Customer agrees not to misrepresent the origin, quality, or branding of
MoonFare coffee.

10. RETURNS & DEFECTIVE PRODUCT

Due to the perishable nature of roasted coffee:

  • Returns are only accepted for verified quality defects
  • Claims must be submitted within 7 days of delivery

MoonFare may replace defective product at its discretion.

11. CONTRACT TERM

This Agreement will remain in effect for a period of months defined in the agreement below from the Effective Date below.

Unless otherwise stated.

At the end of the term:

  • The Agreement may automatically renew for additional X-month periods
    unless either Party provides 30 days written notice of termination.

12. TERMINATION 

Either Party may terminate this Agreement by providing 30 days written
notice.

MoonFare may terminate the Agreement immediately if:

  • payment obligations are not met
  • brand misuse occurs
  • product is improperly stored or misrepresented

Outstanding balances must be paid in full upon termination.

13. LIMITATION OF LIABILITY

MoonFare Coffee LLC shall not be liable for any indirect, incidental, or
consequential damages arising from the resale or use of the product.

 

The parties agree that an invoice will be sent separately to the recipient. The issuance of the invoice will mark the initiation of this agreement, and all terms and obligations outlined in the contract will become effective upon receipt of the invoice.
